Preamble

This License (the “SX-ORRL”) governs the use of the Syztemax system (“Syztemax,” from System zoom to the max), comprising the Primitives-to-Large-Bodies System Mechanics Framework (including the total reclassification of the particle), the Quorum mechanics, the MCSA engine and its simulator results, downloadable PDF documents, the official Framework website at iovanta.io, and the Syztemax Control Panel (“Satellite”) (together, the “Framework”), including its architecture, specifications, source code, documentation, data schemas, and any outputs it generates.

The purpose of this License is defensive: to guarantee that all research, extensions, and results built on the Framework remain openly shared, properly credited, and free from commercial exploitation.

This is not an OSI-approved “open source” license. It is a source-available, non-commercial, reciprocal (share-alike) research license.

1. Definitions

1.1 “Framework”
Means the Syztemax system and its components, comprising: (a) the Primitives-to-Large-Bodies System Mechanics Framework, including the total reclassification of the particle, all primitives, composition rules, and large-body constructs derived from them; (b) the Quorum mechanics; (c) the MCSA engine, including its simulator and the outputs and results it generates; (d) the Syztemax Control Panel (“Satellite”) and its interfaces; and (e) all accompanying materials distributed under this License, including source code, algorithms, architecture documents, specifications, data schemas (including JSON schemas), test suites, scientific manuscripts, and documentation published by the Licensor as part of the Syztemax system.
1.2 “Derivative Work”
Means any work that is based on, incorporates, adapts, translates, extends, reimplements, or is otherwise derived from the Framework, in whole or in part, in any programming language or medium. This expressly includes reimplementations of the MCSA engine or Quorum mechanics, even if no original code is copied, where the architecture, mechanics, or methodology of the Framework is reproduced.
1.3 “Results”
Means any findings, analyses, datasets, outputs, JSON or other structured data, benchmarks, evaluations, reports, or publications produced by running, applying, or building upon the Framework or any Derivative Work.
1.4 “Commercial Use”
Means any use primarily intended for or directed toward commercial advantage or monetary compensation, including but not limited to: selling, licensing for a fee, or renting the Framework, Derivative Works, or Results; offering them as part of a paid product or paid service (including software-as-a-service or API access); using them in paid consulting deliverables; using them for advertising-supported distribution; or using them internally to develop a commercial product or service.
1.5 “You”
Means any individual or legal entity exercising rights under this License.
1.6 “Share Openly”
Means to make publicly available at no charge, in a form that permits inspection and reuse under this same License. For code and schemas, this means source form; for Results, this means the complete data or findings in a machine-readable or human-readable open format.

2. Grant of Rights

Subject to the conditions in Section 3, the Licensor grants You a worldwide, royalty-free, non-exclusive, non-transferable, non-sublicensable license to:

  1. use, run, study, and reproduce the Framework;
  2. create Derivative Works;
  3. produce and distribute Results; and
  4. distribute the Framework and Derivative Works,

solely for non-commercial purposes such as research, education, personal use, and use by non-profit organizations.

No rights are granted for Commercial Use. Commercial rights, if any, may only be obtained through a separate written agreement with the Licensor.

3. Conditions

All rights granted in Section 2 are expressly conditioned on Your compliance with all of the following:

3.1 Attribution

Any distribution, publication, or public presentation of the Framework, a Derivative Work, or Results must credit the foundational architecture with the following notice, prominently and in a manner reasonable to the medium:

“Built on the Syztemax system: the Primitives-to-Large-Bodies System Mechanics Framework, Quorum mechanics, and MCSA engine, created by IOVANTA, Inc. — www.syztemax.com. Used under the SX-ORRL v1.0.”

You must retain all copyright, authorship, and attribution notices present in the Framework, and must not misrepresent the origin of the Framework or imply endorsement by the Licensor without written permission.

3.2 Reciprocity (Share-Alike)

If You distribute, publish, deploy, or make available to any third party a Derivative Work—including making its functionality available over a network or as a service—You must Share Openly the complete corresponding source of that Derivative Work under this same License (SX-ORRL), with no additional restrictions.

3.3 Open Results

If You publish, present, or otherwise communicate to any third party any Results, You must Share Openly the underlying Results—including the complete output data (e.g., JSON files), methodology, and configuration necessary to understand and reproduce them—within 90 days of such publication or communication, under this same License.

3.4 Non-Commercial

You must not engage in any Commercial Use of the Framework, any Derivative Work, or any Results. You must not charge any fee, require any payment, or receive any monetary compensation in connection with the Framework, Derivative Works, or Results, other than reasonable reimbursement of actual costs of physical media or bandwidth, at no profit.

3.5 License Propagation

Every copy of the Framework, every Derivative Work, and every published set of Results must include a copy of this License or a durable link to it, and must clearly state that this License applies.

3.6 No Circumvention

You must not apply technical measures, contractual terms, patent claims, or any other mechanism that restricts a recipient from exercising the rights granted by this License.

4. Patents

Each contributor to the Framework grants You a non-commercial patent license covering their contribution, limited to the rights granted herein. If You initiate patent litigation alleging that the Framework or a Derivative Work infringes a patent, all rights granted to You under this License terminate immediately.

5. Termination

  1. This License terminates automatically upon any breach of Section 3.
  2. Rights may be reinstated at the Licensor’s sole discretion if the breach is cured within 30 days of notice, for a first violation.
  3. Sections 6, 7, and 8 survive termination.

6. Disclaimer of Warranty

THE FRAMEWORK IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE FRAMEWORK OR ITS USE.

8. Miscellaneous

8.1 Severability

If any provision is held unenforceable, the remainder of the License remains in effect, and the provision shall be reformed to the minimum extent necessary to make it enforceable.

8.2 Governing Law

This License is governed by the laws of the State of Texas and applicable federal laws of the United States of America, without regard to conflict-of-law rules.

8.3 Entire Agreement

This License is the entire agreement concerning the Framework between You and the Licensor.

8.4 New Versions

The Licensor may publish revised versions of this License. You may use the version under which You received the Framework or, at Your option, any later version published by the Licensor.
